1. Acceptance of Terms
These Terms of Service ("Terms") constitute a legally binding agreement between you ("you" or "user") and Compound Finance, Inc. ("Compound," "we," "us," or "our") governing your access to and use of the Compound mobile application and the website located at trycompound.com (collectively, the "Service").
By creating an account, accessing, or using the Service, you agree to be bound by these Terms and our Privacy Policy. If you do not agree to these Terms, do not use the Service.
2. Eligibility
To use the Service, you must:
- Be at least 18 years of age
- Be a resident of the United States
- Have a valid bank account at a U.S. financial institution supported by Plaid
- Have the legal capacity to enter into a binding agreement
The Service is currently available only in the United States. By using the Service, you represent and warrant that you meet all eligibility requirements.
3. Description of Service
Compound is a personal finance application that connects to your bank accounts via Plaid to provide automatic budget generation, spending projections, category-level spending breakdowns, and an optional AI assistant for financial questions.
3.1 Read-Only Access
Compound accesses your financial data in read-only mode. We cannot and do not initiate transactions, move funds, make payments, or modify your accounts in any way. We view your account balances and transaction history solely to provide the Service.
3.2 Data Accuracy
The financial data displayed in the Service is sourced from your financial institutions via Plaid. While we strive for accuracy, we do not guarantee that account balances, transaction data, or spending projections will be completely accurate, current, or error-free. Your financial institution's records are the authoritative source for your account information.
3.3 Service Availability
We strive to provide continuous access to the Service, but do not guarantee uninterrupted availability. The Service may be temporarily unavailable due to maintenance, updates, or circumstances beyond our control, including third-party service disruptions (Plaid, financial institutions, cloud infrastructure).
4. Account Registration and Security
4.1 Account Creation
You must create an account to use the Service. You agree to provide accurate, current, and complete information during registration and to keep your account information up to date.
4.2 Account Security
You are responsible for maintaining the security of your account and any device used to access the Service. You agree to:
- Keep your authentication credentials confidential
- Enable biometric authentication when available for additional security
- Notify us immediately if you suspect unauthorized access to your account
- Not share your account with others or allow others to access the Service through your account
4.3 One Account Per User
Each user may maintain only one account. Creating multiple accounts may result in termination of all associated accounts.
5. Financial Data Access via Plaid
5.1 Authorization
By connecting your bank accounts, you authorize Compound and Plaid to access, collect, and use your financial information from your financial institutions as described in our Privacy Policy and Plaid's End User Privacy Policy.
5.2 Plaid's Role
Plaid acts as an intermediary between you, your financial institution, and Compound. Compound does not control and is not responsible for Plaid's services, availability, or data practices. By using the Service, you acknowledge that your use of Plaid is subject to Plaid's terms and policies.
5.3 Third-Party Availability
The availability and accuracy of financial data depends on your financial institution and Plaid. We are not responsible for disruptions, delays, or inaccuracies caused by your financial institution or Plaid, including temporary connection failures, delayed transaction posting, or changes to your institution's data-sharing capabilities.
5.4 Disconnection
You may disconnect your bank accounts at any time through the app. You may also manage or revoke Plaid's access through Plaid Portal.
6. AI Assistant
6.1 Optional Feature
The AI assistant is an optional feature of the Service. The Service functions fully without any AI interaction. You are not required to use the AI assistant.
6.2 Limitations
The AI assistant is powered by third-party artificial intelligence technology. AI-generated responses:
- May contain inaccuracies, errors, or outdated information
- Do not constitute professional financial, legal, tax, or investment advice
- Should not be the sole basis for any financial decision
- Are provided for informational and educational purposes only
6.3 Privacy
Financial data shared with the AI assistant is anonymized before processing as described in our Privacy Policy. The AI assistant cannot see your name, account numbers, exact transaction amounts, or other personally identifiable information.
6.4 No Autonomous Actions
The AI assistant cannot make changes to your budget, accounts, or settings without your explicit confirmation. Any adjustments suggested by the AI require your approval before taking effect.
7. Subscription and Payment
7.1 Pricing
The Service is offered as a monthly subscription at the current price of $3 per month. Prices are subject to change, but we will provide advance notice of any price increases.
7.2 Payment Processing
Payments are processed by Stripe, Inc. By subscribing, you agree to Stripe's terms of service. Compound does not directly store your payment card information.
7.3 Billing Cycle
Your subscription begins on the date of your first payment and renews automatically each month on the same date. You will be charged at the beginning of each billing cycle.
7.4 Cancellation
You may cancel your subscription at any time through the app's Settings. Upon cancellation, you will retain access to the Service through the end of your current billing period. We do not offer prorated refunds for partial months.
7.5 Refunds
Subscription fees are generally non-refundable. If you believe you have been charged in error, please contact us at founder@trycompound.com and we will review your request.
8. User Conduct
You agree not to use the Service to:
- Violate any applicable law, regulation, or third-party rights
- Access or attempt to access another user's account or data
- Reverse engineer, decompile, disassemble, or attempt to derive the source code of the Service
- Interfere with or disrupt the integrity, security, or performance of the Service
- Use automated means (bots, scrapers, etc.) to access the Service without our written consent
- Attempt to circumvent rate limits, security measures, or access controls
- Use the AI assistant to attempt prompt injection, generate harmful content, or extract system instructions
- Transmit malware, viruses, or other harmful code
- Misrepresent your identity or provide false information
Violation of these rules may result in immediate suspension or termination of your account.
9. Disclaimers
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. To the fullest extent permitted by applicable law, Compound disclaims all warranties, including but not limited to implied warranties of merchantability, fitness for a particular purpose, non-infringement, and any warranties arising from course of dealing or usage of trade.
Without limiting the foregoing, Compound does not warrant that:
- The Service will be uninterrupted, timely, secure, or error-free
- Financial data, balances, projections, or budgets displayed will be accurate, complete, or current
- The Service will meet your specific requirements or expectations
- Any errors or defects in the Service will be corrected
- The AI assistant will provide accurate, complete, or appropriate responses
You acknowledge that your use of the Service is at your sole risk. You are responsible for verifying the accuracy of any information provided through the Service against your financial institution's records.
10. No Financial Advice
Compound is not a registered investment adviser, broker-dealer, financial planner, tax professional, or legal advisor. Nothing in the Service constitutes professional financial, investment, tax, or legal advice.
The budgets, projections, spending analyses, and any information provided through the Service (including AI assistant responses) are for informational and educational purposes only. They are not intended as, and should not be construed as, professional financial advice.
You should consult with qualified financial, tax, and legal professionals before making any significant financial decisions. Compound is not responsible for any financial decisions you make based on information provided through the Service.
11. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW:
- Compound's total cumulative liability to you for all claims arising out of or relating to these Terms or the Service shall not exceed the greater of (a) the total subscription fees you have paid to Compound in the twelve (12) months preceding the event giving rise to the claim, or (b) one hundred dollars ($100)
- In no event shall Compound be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, goodwill, or other intangible losses, even if Compound has been advised of the possibility of such damages
- Compound shall not be liable for any damages arising from your reliance on budgets, projections, spending analyses, AI responses, or other information provided through the Service
- Compound shall not be liable for any damages resulting from unauthorized access to your account, provided we have maintained commercially reasonable security measures
Some jurisdictions do not allow the exclusion or limitation of certain damages, so some of the above limitations may not apply to you. In such cases, Compound's liability will be limited to the fullest extent permitted by applicable law.
12. Indemnification
You agree to indemnify, defend, and hold harmless Compound, its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorney's fees) arising out of or in any way connected with: your access to or use of the Service; your violation of these Terms; your violation of any third-party rights; or any financial decisions you make based on information provided through the Service.
13. Dispute Resolution and Arbitration
Please read this section carefully. It affects your legal rights, including your right to file a lawsuit in court and to have a jury trial.
13.1 Informal Resolution
Before initiating formal dispute resolution, you agree to first contact us at founder@trycompound.com and attempt to resolve any dispute informally for at least 30 days.
13.2 Binding Arbitration
If a dispute cannot be resolved informally, you and Compound agree that any dispute, claim, or controversy arising out of or relating to these Terms or the Service shall be resolved through binding individual arbitration administered by the American Arbitration Association ("AAA") under its Consumer Arbitration Rules, rather than in court.
The arbitration shall be conducted by a single arbitrator and shall take place in New York County, New York, or at another mutually agreed location. The arbitrator's decision shall be final and binding and may be entered as a judgment in any court of competent jurisdiction.
13.3 Class Action Waiver
You and Compound agree that disputes will be resolved only on an individual basis and not in a class, consolidated, or representative action. If a court or arbitrator determines that this class action waiver is unenforceable as to a particular claim, then that claim (and only that claim) shall be severed from the arbitration and may be brought in court.
13.4 Exceptions
Notwithstanding the above, either party may seek injunctive or other equitable relief in any court of competent jurisdiction to prevent the actual or threatened infringement of intellectual property rights.
13.5 Opt-Out
You may opt out of this arbitration agreement by sending written notice to founder@trycompound.com within 30 days of creating your account. Your notice must include your name, account email, and a clear statement that you wish to opt out of the arbitration agreement. If you opt out, you and Compound agree to resolve disputes in the courts specified in Section 16.
14. Intellectual Property
14.1 Our Rights
The Service, including its design, features, code, algorithms, content, trademarks, and all related intellectual property, is owned by Compound Finance, Inc. and is protected by United States and international intellectual property laws. Nothing in these Terms grants you any right to use Compound's name, trademarks, or branding without our prior written consent.
14.2 Your Rights
You retain all rights to your personal and financial data. By using the Service, you grant Compound a limited, non-exclusive license to access, use, and process your data solely as necessary to provide and improve the Service, as described in our Privacy Policy.
14.3 Feedback
If you provide suggestions, ideas, or feedback about the Service, you grant Compound a non-exclusive, royalty-free, perpetual, irrevocable, worldwide license to use, modify, and incorporate such feedback without any obligation to you.
15. Termination
15.1 By You
You may terminate your account at any time by deleting your account through the app or by contacting us at founder@trycompound.com. Upon termination, your subscription will be cancelled, and your data will be deleted as described in our Privacy Policy.
15.2 By Compound
We may suspend or terminate your account if we reasonably believe you have violated these Terms, engaged in fraudulent activity, or if required by law. Where possible, we will provide advance notice. In cases of serious violations, we may terminate immediately.
15.3 Effect of Termination
Upon termination, your right to access and use the Service immediately ceases. Sections 9 through 16 of these Terms survive termination.
16. Governing Law
These Terms shall be governed by and construed in accordance with the laws of the State of New York, without regard to its conflict of law principles. For any disputes not subject to arbitration, you consent to the exclusive jurisdiction of the state and federal courts located in New York County, New York.
17. Changes to These Terms
We may update these Terms from time to time. If we make material changes, we will notify you by updating the "Last updated" date at the top and, where appropriate, through the app or via email at least 30 days before the changes take effect. Your continued use of the Service after the effective date of any changes constitutes your acceptance of the revised Terms.
If you do not agree to the revised Terms, you must stop using the Service and may cancel your subscription and delete your account.
